We wanted to do the opposite of most other projects: while most pre-sell to VCs on undisclosed terms and promise to build a product or find users later, Venice didn’t pre-sell to anyone and had already demonstrated product-market fit for a year by the time VVV was airdropped to the community. The token traded openly for 18 months before Venice brought in outside capital. The participants in Venice’s Series A agreed to these terms because they are aligned with Venice’s long-term vision.

The Series A investors received the following in return for the $65m in new capital: • 8.98% of the company • Vesting grant of 1.5m VVV • The right to buy 5m VVV in the next eight years. To exercise the right (token warrant, aka call option), investors must pay Venice an additional ~$66.5 million, bringing the total raised to $131.5m

To raise such capital, we could have either sold some of Venice’s treasury VVV directly to the market, or sold equity. We chose the latter. Despite 700%+ YTD growth, we don't want to sell the token. Venice remains the largest holder of VVV, owning more than 30m out of today’s 80m supply. The company and team each own more today than at genesis. The company has not sold any to date.

Programmatic buy and burn of $VVV is up 3.2x since Venice introduced burns for credit purchases. It’s clear that Venice intends to drive the majority of free cash flow to buying and burning token supply. With continued acceleration in AI usage and increased focus on privacy, Venice fundamentals should correspondingly accelerate. With the washout of fast money traders on the pullback earlier this month, there are very few sellers remaining and a lot of momentum traders watching closely to re-enter with any bid. Likelihood of a quick run back to ATHs is imo a lot higher than people expect with a lot of fomo buyers coming back at that point.
